Voltabox AG (soon to be Voltatron AG) acquires minority interests in EKM and drives forward integration into the Group Paderborn, Germany, August 21, 2025 – Voltabox AG (DE000A2E4LE9), which will in future operate under the name Voltatron AG, has signed a share purchase agreement to take full control of EKM Elektronik GmbH. The Group augmented its previous stake from 99% to 100%. The former minority shareholder David Franke, who also serves as Managing Director of EKM, has sold his remaining 1% stake. EKM is a highly specialized provider of electronic solutions and a manufacturer of electronic assemblies used in stationary energy storage systems, traction batteries, life-sustaining medical technology, as well as in industrial measurement and control technology. David Franke has played a key role in the company’s successful development in recent years and will continue to manage EKM as its Managing Director going forward. With the full ownership of EKM, the Group is taking an important step toward deeper economic and fiscal integration. On this basis, the profit and loss transfer agreement between Voltabox AG (soon to be Voltatron AG) and EKM Elektronik GmbH, as resolved by the Annual General Meeting on July 8, 2025, will be formalized. This will enable the Group to capitalize on EKM’s future financial success. David Franke immediately reinvested the proceeds from selling his stake in EKM into the Group. On August 18, 2025, he purchased more than 41,800 Voltabox shares from FAS Beratung und Vermögensverwaltung GmbH under a share purchase agreement at a price of € 5.26 per share. The purchase price per share corresponds to the closing price (Frankfurt Stock Exchange) on the day of notarization. Florian Seitz, CFO of Voltabox AG (soon to be Voltatron AG), commented on the successful completion of the transaction: “With the acquisition of the remaining shares in EKM, we have achieved another milestone of our agenda. This is a logical step towards the forthcoming profit and loss transfer agreement. We are thus laying the foundation for a robust and profitable Group positioning us to make optimal use of EKM’s future profits.” David Franke, Managing Director of EKM, added: “I am pleased that our excellent collaboration has reached another important stage through the full integration into the Group.
