EQS-Ad-hoc: CHERRY SE / Key word(s): Miscellaneous/Restructure of Company Munich, September 11, 2025 – The Management Board of Cherry SE ("Company") announces that, in the course of ongoing work on financial statements and after exercising due professional judgment, it can be assumed that the Company's balance sheet equity (according to the German Commercial Code) has fallen to less than half of the registered share capital. This is primarily attributable to declines in sell-in sales resulting from the consistent implementation of inventory reduction measures both in the Company's own inventory and in the inventory of its distribution partners. These measures were published accordingly and explained in detail to shareholders at the Company's Annual General Meeting on July 22, 2025, in Munich. The reduction in equity does not have an impact on the Company’s restructuring plan, which continues to be implemented consistently. The annual report for the first half of 2025 will be published on Friday, September 26, 2025, as announced. The Management Board of Cherry SE will convene an extraordinary general meeting to notify shareholders of the reduction in equity in accordance with the legal requirements (Section 92 of the German Stock Corporation Act (AktG)).
