Under the Programme, Iconic Digital Assets AG (the "Issuer") may from time to time issue notes in bearer form secured by Ethereum, Bitcoin Cash, Litecoin, XRP or other cryptocurrencies (each a "Cryptocurrency" and together, the "Cryptocurrencies") or by a basket (each a "Basket") consisting of various Cryptocurrencies (the "Notes”). The Notes do not have a fixed maturity date. The Notes will be governed by the laws of the Federal Republic of Germany ("Germany").
