Foresters Financial Announces Agreement for Sale of its Canadian Asset Management Business to Fiera Capital
TORONTO, May 15, 2019 /CNW/ - Foresters Financial has entered into a definitive agreement with Fiera Capital Corporation ("Fiera Capital") under which it will sell the outstanding shares of Foresters' Canadian asset management business, Foresters Asset Management Inc. ("Foresters Asset Management") to Fiera Capital (the "Transaction"). Foresters Asset Management acts as investment fund manager and portfolio manager to the imaxx family of mutual funds (the "imaxx Funds") and the Foresters Asset Management Canadian Bond Pool (together, the "Foresters Funds").
Following closing of the Transaction, Fiera Capital will be incorporating the Foresters Asset Management business into its existing Canadian operations, such that Fiera Capital will become manager and portfolio manager of the Foresters Funds. Certain Foresters Asset Management portfolio managers will remain with Fiera Capital following closing of the Transaction. Greg Ross, President and CEO of Foresters Asset Management, will oversee the transition to Fiera Capital.
The Transaction is aligned with Foresters' strategic plan to continue to focus on and invest in its core life insurance business. It follows the organization's announcement in April 2019 of its intention to sell assets related to its U.S. asset management business, including First Investors mutual funds and its U.S. broker dealer and advisory business.
Going forward, Foresters expects to have a long-term relationship with Fiera Capital, as Fiera Capital will continue to manage a portion of Foresters' assets.

The Transaction remains subject to customary closing conditions, including regulatory approvals and the approval of unitholders of the Foresters Funds. The Transaction is expected to close in the third quarter of 2019. The terms of the transaction were not disclosed.
Unitholders of the Foresters Funds will be asked to approve the change of manager of such funds to Fiera Capital at special meetings. Details about the Transaction will be contained in the meeting materials to be mailed to unitholders.
Foresters Asset Management referred the Transaction to the Independent Review Committee (the "IRC") of the imaxx Funds, and the IRC determined that, if implemented, the Transaction would achieve a fair and reasonable result for the imaxx Funds.
